This software is provided by EDGEAR (Licensor) on the terms and conditions set-forth herein and described in the District Licensed Agreement (Agreement) as authorized, signed and dated by contractual agreement between the school district (Licensee) and Licensor to include all employees and users authorized or unauthorized pursuant to the Agreement.

   By using this software you agree to the terms and conditions set forth herein and the Agreement set-forth between the Licensee and Licensor.

   As per the Agreement, Licensor grants Licensee a nonexclusive license to use this software as described in the Agreement. Furthermore, This software as described in the Agreement is provided on a limited licensed or leased agreement basis only and is the sole property of EDGEAR. Any copying or reproduction or redistribution is expressly prohibited. Licensor claims sole ownership to this software and in the event that the agreement is terminated for any reason, Licensee agrees to cease use and give rights to Licensor to disable and uninstall all contents related to this software. Neither Licensee nor any other user of this software pursuant to the Agreement shall have any right to abuse, mishandle, remove, copy, repair, or have repaired by any other party without written consent from Licensor. Licensee agrees not to move software from one computer to another or create derivative works of software or authorize others to do so. Further, Licensee agrees not to reverse compile, reverse engineer, or otherwise translate software, or derive source code from software. Licensee further agrees not to reproduce, record, publish, publicly exhibit, or distribute software or source code, to include display codes, graphic designs or source codes, screen design or source codes, database design or source codes, methods, including any revisions, upgrades, or new applications that are provided, further to include all content in software whether from servers or client stations.

   This Software, as per the Agreement, and all it's contents is confidential, proprietary information in which licensor claims trade secret rights and is protected under copyright and trademark laws, and may be subject to intellectual property rights and international treaties. No unauthorized copying or distribution of, or other act with respect to this software, is allowed that would violate those laws.

   Except as otherwise specifically provided, you may only access and use the Materials or tools within this software for informational, educational or other non-commercial purposes. You may not modify or use the Materials for any other purpose without the express written consent of EDGEAR.

   Any Software that is provided for or on behalf of the United States government and/or its agencies is provided with Restricted Rights. The Software is "Restricted Computer Software" as defined in the Rights in Data-General Clause at FAR 52.227-14. Their use, duplication or disclosure by or to the United States government is subject to the restrictions, as applicable, set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, subparagraphs (c)(1) and (2) of the Commercial Computer Software--Restricted Rights at C.F.R. 52.277-19, and/or particular department or agency regulations providing protection equivalent to or greater than such cited clauses and subparagraphs.    The Materials made available through this Software is provided "AS IS," AND EDGEAR DISCLAIMS ANY AND ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, REASONABLE CARE AND WORKMANLIKE PERFORMANCE. EDGEAR DISCLAIMS ANY WARRANTIES GOVERNING, AND WILL NOT BE RESPONSIBLE FOR, ANY LOSS, DAMAGE, OR INJURY RESULTING FROM USE OF THE MATERIALS ON THIS SOFTWARE.

   IN NO EVENT SHALL EDGEAR OR IT'S SUBSIDARIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, MULTIPLE, PUNITIVE OR EXEMPLARY DAMAGES OR LOSS DATA, LOSS OF GOODWILL, WORK STOPPAGE, HARDWARE FAILURE OR MALFUNCTION, OR LOSS OF FEDERAL OR STATE BENEFITS OR PRIVILEGES, EVEN IF EDGEAR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER ARISING OUT OF TORT, CONTRACT, WARRANTY OR STRICT LIABILITY, IN CONNECTION WITH THE USE OR PERFORMANCE OF SOFTWARE, DOCUMENTS, SERVICES, INFORMATION, OR OTHER MATERIALS AVAILABLE FROM THIS SOFTWARE.
